Title I
IMPLEMENTATION OF DIRECTIVE 2008/48 / EC ON CREDIT AGREEMENTS FOR CONSUMERS
Art. 1
Amendments to the Banking Law
1. Chapter II of Title VI of the legislative decree 1 September 1993, n. 385, and’ replaced by the following:
"Chapter II
Consumer credit
Art. 121.
definitions
1. In this Chapter, the expression:
a) “Consumer Code” It indicates the legislative decree 6 September 2005, n. 206;
b) “consumatore” means a natural person acting for purposes unrelated to entrepreneurial activity, commercial, craft or profession;
c) “credit agreement” It means a contract by which a lender grants or agrees to grant to a consumer credit in the form of deferred payment, loan or other financial accommodation;
d) “credit agreement” means a credit agreement aimed exclusively to finance the supply of goods or the provision of a specific service if at least one of the following conditions:
1) the lender makes use of the good or the service provider supplier to promote or conclude the credit agreement;
2) the good or the specific service are explicitly specified in the credit agreement;
and) “total cost of credit” It indicates the interest and all other costs, including fees, taxes and other expenses, except for notarial ones, that the consumer has to pay in connection with the credit agreement and which the lender and’ aware;
f) “financier” indicates a subject that, being able to provide funding on a professional basis in the Republic, It is offering or entering into credit agreements;
g) “total amount of credit” It means the ceiling or the total sums made available under a credit agreement;
h) “credit intermediary” It indicates the financial agents, loan brokers or any other entity, different from lender, that the exercise of their commercial or professional activity plays, compared with a cash reward or other economic advantage subject to and in compliance with the stipulation of activity reserves required by Title VI-to, at least one of the following activities:
1) presentation or proposed credit agreements or other preparatory work for the conclusion of such contracts;
2) conclusion of credit agreements on behalf of the lender;
i) “trespassing” It indicates the use by the consumer of funds granted by the lender in excess of the current account balance in the absence of a credit line or from the amount of the opening of credit granted;
the) “durable medium” means any instrument which enables the consumer to store information addressed personally to him in a way accessible for future reference for a period of time adequate for the purposes of the information and which allows the unchanged reproduction of the information stored;
m) “annual percentage rate” the “Taeger” indicates the total cost of credit to the consumer expressed as an annual percentage of the total amount of credit.
2. The total cost of credit are also included costs related to ancillary services relating to the credit agreement, including insurance premiums, whether the conclusion of a contract for such services and object’ a requirement to obtain the credit, or to obtain it on the terms offered.
3. The Bank of Italy, in accordance with the resolutions of the ICRC, down detailed rules for calculating the APR, including identification of instances in which the costs referred to in subsection 2 They are included in the total cost of credit.
Art. 122.
Scope
1. The provisions of this Chapter shall apply to credit agreements, however denominated, except in the following cases:
a) loans of a lower amount to 200 EUR or more 75.000 €. For the purposes of calculating the minimum threshold are taken into consideration also the fractional loans granted through more contracts, if these are attributable to the same economic operation;
b) supply contracts provided for in Articles 1559, and the following, the Civil Code and contracts referred to in Article 1677 Civil Code;
c) financing and where’ No payment of interest or other charges;
d) loans in respect of which the consumer and’ required to pay commissions only for an insignificant amount, if the repayment of the loan must take place within three months from the use of the sums;
and) funding to acquire or retain a right of ownership on land or a town or projected building;
f) loans secured by a mortgage on real property with a duration exceeding five years;
g) funding, granted by banks or investment firms, designed to carry out an operation for financial instruments object as defined in Article 1, paragraph 2, Legislative Decree 24 February 1998, n. 58, and subsequent amendments, purche’ the lender share transaction;
h) loans granted on the basis of an agreement reached before courts or in another statutory authority;
i) delays in the payment of an existing debt granted free of charge by the lender;
the) loans secured by a pledge of movable property, if the consumer is not’ obligated for amount exceeding the value of the property;
m) leases, provided that in them is in accordance with the express provision that at no time the ownership of the rented property can be transferred, with or without consideration, to the tenant;
n) microcredit initiatives under Article 111 and other credit agreements identified by law relate to loans granted to a restricted public, with objectives of general interest, which does not provide for payment of interest or provide rates lower than those prevailing on the market or other conditions more favorable to the consumer than those prevailing not higher than those prevailing in the market on the market and at interest rates;

5. Sellers of goods and services may conclude credit contracts only in the form of the extension of the price with the exception of the interest payment and other charges.
Art. 123.
Advertising
1. Notwithstanding the provisions of Part I, title III, of the Consumer Code, commercials that show the rate of interest or any figures relating to the cost of credit indicate the following basic information, in a clear, concise and prominent with the use of a representative example:
a) the interest rate, specifying whether fixed or variable, and charges included in the total cost of credit;
b) the total amount of credit;
c) the APR;
d) the existence of any additional services needed to obtain the credit or to obtain it on the terms advertised, if the costs of these services are not included in the APR as it could not be determined in advance;
and) the duration of the contract, is determined;
f) if determinable in advance, the total amount owed by the consumer, nonche’ the amount of each installment.
2. The Bank of Italy, in accordance with the resolutions of the ICRC, It sets out the characteristics of the information to be included in advertisements and the manner of their disclosure.
Art. 124.
pre-contractual obligations
1. The lender or the credit intermediary, based on the terms offered by the lender and, It is the case, the preferences expressed and information supplied by the consumer, provide the consumer, before he is bound by any contract or offer credit, the information necessary to enable the comparison of different credit offers on the market, in order to take an informed decision on the conclusion of a credit agreement.
2. The information referred to in subsection 1 is provided by the lender or the credit intermediary on paper or on another durable medium through the module containing the “Standard European Consumer Credit Information”. 3. 4. 5. The lender or the credit intermediary shall provide the consumer with adequate explanations, so that it can assess whether the proposed credit agreement is adapted to his needs and to his financial situation, where appropriate by explaining the pre-contractual information to be provided pursuant to paragraphs 1 and 2, the essential characteristics of the products proposed and the specific effects they may have on the consumer, including the consequences of non-payment. In the case of simultaneous selection of more contracts not related to Article 121, paragraph 1, letter d), and’ however specified whether the validity of the offer and’ conditioned to the joint conclusion of such contracts.
6. The goods suppliers or service providers who act as credit intermediaries in an ancillary capacity are not required to observe the pre-contractual disclosure obligations under this Article, notwithstanding the obligation of the lender to ensure that the consumer receives the pre-contractual information.
7. The Bank of Italy, in accordance with the resolutions of the ICRC, that the implementing provisions of this Article, with reference to:
a) the content, their preparation, the way to provide the pre-contractual information;
b) the manner and extent of clarifications to be provided to the consumer under subsection 5, even in the case of jointly concluded contracts;
c) the specific obligations or derogatory to be observed in cases of:
voice telephony communications; credit facilities settled in current accounts; extended payment terms not free and other preferential arrangements for reimbursement of an existing credit, agreed between the parties as a result of a breach of the consumer; offered through credit intermediaries that operate on an ancillary basis.
Art. 124-to.
Verification of creditworthiness
1. Before the conclusion of the credit agreement, the lender assesses the creditworthiness of the consumer on the basis of adequate information, where appropriate obtained from the consumer and, where necessary, obtained by consulting the relevant database.
2. If the parties agree to change the total amount of credit after the conclusion of the credit agreement, the lender updates the financial information at his disposal concerning the consumer and assesses the creditworthiness of the same before proceeding to a significant increase in total amount of credit.

Art. 125.
Databases
1. Art. 125-to.
Contracts and communications
1. Credit agreements are drawn up on paper or on another durable medium that meets the requirements of the written form in the cases provided by law and contain clear and concise information and the conditions set by the Bank of Italy, in accordance with the resolutions of the ICRC. 5. No amount may be claimed or charged to the consumer except on the basis of an express contractual provisions.
6. 7. In cases of absence or invalidity of the relevant contractual clauses:
a) the APR is equal to the minimum nominal rate of annual Treasury bonds or other similar securities that may be designated by the Minister of Economy and Finance, issued in the twelve months preceding conclusion of the contract. No other amount and’ to the subscriber by way of interest rates, commissions or other fees;
b) the duration of the credit and’ thirty-six month.
8. The contract and’ null if it does not contain the essential information under subsection 1 their:
a) the type of contract;
b) the parts of the contract;
c) the total amount of the loan and the conditions governing the drawdown and repayment.
9. In the event of nullity of the contract, the consumer can not be expected to return more than the amounts used and has the right to pay the amount due in installments, with the same frequency established in the contract or, lacking, in thirty-six monthly installments.
Art. 125-Tue.
Withdrawal by the consumer
1. The consumer may withdraw from the credit agreement within fourteen days; the period runs from the conclusion of the contract or, if later, from the moment the consumer receives all the conditions and the information provided for under Article 125-to, paragraph 1. In case of use of the term remote communication techniques and’ calculated according to Article 67-duodecies, paragraph 3, of the Consumer Code.
2. The consumer who withdraws:
a) It shall inform the sending lender, before expiry of the time limit in paragraph 1, a communication according to the selected mode in the contract between those provided by Article 64, paragraph 2, of the Consumer Code;
b) if the contract has been implemented in whole or in part, within thirty days from the notice provided for in subparagraph a), returns the capital and pay the interest accrued up to the time of return, calculated as set out in the contract. Art. 125-quater.
Open-ended contracts
1. Notwithstanding the provisions of article 125-ter, in credit agreements for an indefinite period the consumer has the right to withdraw at any time without penalty and free of charge. The contract may provide for a notice of up to a month.
2. The open-ended credit agreements may provide a lender's right to:
a) terminate the agreement by giving at least two months, communicated to the consumer on paper or on another durable medium;
b) suspend, for a good cause, the use of credit by consumers, giving him, on paper or another durable medium in advance and, Where this is not possible, immediately after the suspension.
Art. 125-d.
Default of the supplier
1. Art. 125-e.
early repayment
1. The consumer can repay at any time, in whole or in part, the amount owed to the lender. In this case the consumer is entitled to a reduction in the total cost of credit, total amount of interest due and the costs for the remaining life of the contract.
2. In the event of early repayment, the lender is entitled to fair and objectively justified compensation for possible costs directly linked to early repayment of the credit. Such compensation may not exceed 1 percent of the amount repaid early, if the remaining life of the contract and’ more than one year, or the 0,5 percent of the same amount, if the remaining life of the contract and’ equal to or less than one year. In ogni caso, the compensation may not exceed the amount of interest the consumer would have paid for the remaining life of the contract.
3. The compensation referred to in paragraph 2 non e’ due:
a) if the early repayment and’ made under an insurance contract intended to guarantee the credit;
b) if the early repayment covers a credit facility agreement;
c) if the early repayment falls within a period not covered by an interest rate expressed as a specific predetermined fixed percentage in the contract;
d) if the amount repaid in advance and corresponds to the entire remaining debt and’ less than or equal to 10.000 €.
Art. 125-septies.
Assignment of receivables
1. In case of assignment of credit or of a credit agreement, the consumer can always raise against the assignee all defenses that he could assert against the assignor, including compensation, even in derogation from Article 1248 Civil Code.
2. The consumer and’ informed of the assignment of credit, unless the transferor, in agreement with the assignee, continues to service the credit to the consumer. The Bank of Italy, in accordance with the resolutions of the ICRC, identifies the methods by which the consumer and’ informed.
Art. 125-octies.
trespassing
1. If a current account contract provides for the possibility that the consumer is allowed an overrun, the provisions of Chapter I.

Art. 125-nine.
credit intermediaries

Art. 126.
Confidentiality of information
1. The Minister of Economy and Finance may find, a regulation adopted pursuant to Article 17, paragraph 3, Law 23 August 1988, n. 400, cases where the information required in article 125, paragraph 2, and 125-quater, paragraph 2, letter b), They are not carried out as prohibited under Community law or contrary to public policy or public security. Art. 2
amendments to Article 67 of the Consumer Code

Art. 3
Repeals and terms of implementation
1. they are repealed:
a) articles 40, 41 and 42 Legislative Decree 6 September 2005, n. 206 (Consumer Code) and consequently, Article 43, paragraph 1, of that legislative decree, the word "rest" and’ abolished;
b) Article 38, first, second and fourth paragraphs, of the consolidated laws on the seizure, the seizure and sale of salaries, salaries and pensions of employees by public administrations, referred to d.P.R. 5 January 1950, n. 180, and consequently, the third paragraph of’ article 38 of the same decree the words: "In the same case" are replaced by "In the case of early repayment".
2. The credit authorities adopt the implementing provisions of this Title within one hundred twenty days from the date of entry into force of this decree.
3. The lenders and credit intermediaries shall abide by the provisions of this Decree within ninety days from the date of entry into force of its implementing provisions.
Title II
COORDINATION OF TITLE VI OF LAW SEPTEMBER 1 1993, N. 385, WITH OTHER LEGISLATION IN TERMS OF TRANSPARENCY
Art. 4
Amendments to Title VI of the legislative decree 1 September 1993, n. 385

3. The provisions of this Chapter, unless they are expressly referred, do not apply to credit agreements covered by Chapter II and the Payment Services covered by Chapter II-to.
Art. 116.
Advertising
1. Banks and financial intermediaries make it known clearly to customers the interest rates, prices and other economic conditions governing the operations and services offered, including default interest and currencies applied to the charging of interest. 4. Information advertised is not an offer to the public pursuant to Article 1336 Civil Code.
Art. 117.
contracts

7. The Bank of Italy may require that certain contracts, identified by a particular name or based on specific qualifying criteria, have a typical specific content. The differing contracts are null. It remains liable to the bank or financial intermediary for breaching the requirements of the Bank of Italy.
Art. 118.
Unilateral modification of contract terms
1. In permanent contracts may be sued, with approved specifically by the customer clause, the right to unilaterally change rates, the prices and other terms of the contract if there is a justifiable reason. In the other contracts of the right to unilaterally change can be sued only for clauses not involving interest rates, provided that there is a valid reason.
2. Any unilateral change in the contractual conditions must be clearly communicated to customers in ways that contain so highlighted the formula: “Proposal for unilateral contract modification”, with a minimum of two months notice, in writing or another durable medium previously accepted by the customer. Art. 119.
Periodic communications to customers
1. 5. The Minister of Economy and Finance, consulting the Bank of Italy, shall issue the implementing provisions of this Article, anche disciplining:
a) requirements relating to the beneficiaries and the technical forms of funding;
b) objective limits, refer to the volume of activities, the economic conditions applied and the maximum amount of individual loans, Also by changing the limits set by paragraph 1, letter a) and paragraph 3;
c) the characteristics of persons eligible for the exemption provided for in paragraph 4;
d) information to be provided to customers.
Art. 112.
Other actors in loan granting
1. 4. The Board may order the removal from the list:

5. 8. The Minister of Economy and Finance, consulting the Bank of Italy, discipline:
a) structure, the powers and mode of operation Body necessary to ensure functionality and efficiency;
b) the requirements, including those of professionalism and integrity of the management bodies Body, nonche’ the criteria and the procedures for their appointment and replacement.
Art. 113.
Body for the sealing of the list referred to in Article 111
1. E’ set up a body, having legal personality under private law and ordered association, with organizational autonomy, statutory and financial responsible for managing the list referred to in Article 111, paragraph 1, and the relative separate sections. The body's members are appointed by the Minister of Economy and Finance, at the proposal of the Bank of Italy.
2. The Board carries out any activity necessary for the list management as well as’ of the relevant separate sections; determine the extent of the contributions from the members, within the limit of one per cent of the amount of loans and collect fees and other charges due for the enrollment on’ list and monitors compliance by members of the discipline they are also asked pursuant to Article 111, paragraph 5.
3. To carry out its tasks, the Board may ask the members to communicate data and information and to transmit documents and records, and establish the related terms, nonche’ conduct inspections.
4. The Board may order the removal from the list and the related separate sections:
a) should the requirements for registration;
b) if there are serious violations of law and regulations issued pursuant to this Decree;
c) for non-payment of contributions under subsection 2;
d) for the inactivity of the member which lasted for a period of time not less than one year.
5. Notwithstanding the provisions of paragraph 4, the Bank of Italy, Body at the request and following an inquiry carried out by the same, It can impose a ban on members to undertake new operations or order the reduction of the activities for violations of laws or administrative rules that regulate its activities.

Art. 113-to.
Suspension of the administrative and control bodies
1. If there are serious irregularities or serious violations of the laws, administrative or statutory provisions as well as’ reasons of urgency, the Bank of Italy may provide that one or more commissioners to assume the financial intermediary's administrative powers enrolled in the register referred to in Article 106. The functions of the administrative and control bodies have meanwhile suspended.
2. They can also be appointed commissioners officials of the Bank of Italy. The commissioners in the exercise of their duties, are public officials.
3. The interim administration pursuant to subsection 1 It can not last more than six months. Except as provided by Article 113-Tue, paragraph 1, letter c), Commissioners return the company to the management and supervisory bodies or, in case of detected serious irregularities related to suspended corporate bodies and with the authorization of the Bank of Italy, convene the meeting for the withdrawal and the appointment of new management and control bodies. Art. 113-Tue.
Withdrawal of authorization
1. Except as provided by Article 113-to, the Bank of Italy, It may order the withdrawal of the authorization referred to in Article 107, paragraph 1, when:
a) look exceptionally serious irregularities in, or exceptionally serious violations of the laws, administrative or statutory provisions that regulate the intermediary activities;
b) expected losses are the heritage of exceptional gravity;
c) the withdrawal is requested upon a reasoned request of the administrative bodies, extraordinary shareholders, Commissioners referred to in Article 113-to, paragraph 1 or liquidators.
2. The revocation and’ published in abridged form in Official gazette of the Italian Republic; previous termination of the financial intermediary must provide suitable evidence in customer communications and in any other appropriate forum.
3. The withdrawal of authorization constitutes grounds for dissolution of the company. Within sixty days of notification of the revocation order, the financial intermediary shall inform the Bank of Italy on the company's settlement program. The liquidating authority shall send the Bank of Italy periodic references on the progress of the liquidation.
4. Financial intermediaries Articles 96-d and 97.
5. Where the Bank of Italy established the non existence of the conditions for the smooth functioning of the clearance procedure applies paragraph 6.
6. Financial intermediaries who have been authorized to provide investment services or have funds with a repayment obligation for an amount exceeding their capital or of which has been declared insolvent status under Article 82, paragraph 1 It applies the compulsory administrative liquidation procedure, under Title IV, Chapter I, section III.
7. The provisions of this Article shall also apply to branches of financial intermediaries with registered offices abroad admitted to the exercise, in Italian, the activities referred to in Article 106 paragraph 1. The Bank of Italy shall inform the competent authority adopted measures.
8. This is without prejudice to article 114-terdecies.
Art. 114.
final rules
1. Subject to the provisions of Article 18, Minister of Economy and Finance shall regulate the exercise in the territory of the Republic, by entities incorporated abroad, of the activities indicated in 106.
2. The provisions of this Title shall not apply to persons, identified by the Minister of Economy and Finance consulting the Bank of Italy, already submitted, under the law, to forms of financial supervision on the activities performed. ".
Art. 8
Other changes to the legislative decree 1 September 1993, n. 385
1. Article 58, paragraph 7, of the legislative decree 1 September 1993, n. 385, and’ replaced by the following:
«7. The provisions of this Article shall also apply to the supply in favor of those, other than banks, included in the scope of consolidated supervision under Articles 65 and 109 and in favor of financial intermediaries referred to in Article 106. ".
2. Article 132 of the legislative decree 1 September 1993, n. 385, and’ replaced by the following:
«Art. 132.
Illegal financial activities
1. whoever plays, to the public one or more financial assets provided for by Article 106, paragraph 1, in the absence of the authorization referred to in Article 107 or enrollment referred to in Article 111 or Article 112, and’ punished with imprisonment from six months to four years and a fine of € 2.065 ad euro 10.329.».
2. Article 133 of the legislative decree 1 September 1993, n. 385, They have made the following changes:
a) after paragraph 1-Tue, and’ inserted as follows:
«1-quater. Article 139 of the legislative decree 1 September 1993, n. 385, in subsection 1 the word: «dell’articolo 108, paragraphs 3 and 4 e dell’articolo 110 comma 4» sono soppresse e dopo il comma 1 and’ inserted as follows: «1-to. La violazione delle norme di cui al comma 1, in quanto richiamate dall’articolo 110, and’ punita con la sanzione amministrativa pecuniaria da euro 5.000 a euro 150.000.».
7. Al comma 2 Article 139 of the legislative decree 1 September 1993, n. 385, dopo le parole: «dall’articolo 20 comma 2,» sono inserite le seguenti: «anche in quanto richiamati dall’articolo 110».
8. Procedure contenziose
1. I provvedimenti sanzionatori emessi dagli Organismi di cui agli articoli 112-to, 113 and 128-duodecies sono disposti con atto motivato, previa contestazione degli addebiti agli interessati da effettuarsi entro centoventi giorni dall’accertamento ovvero entro duecentoquaranta giorni se l’interessato ha la sede o la residenza all’estero e valutate le deduzioni da essi presentate, respectively, nei successivi quarantacinque e novanta giorni. Nello stesso termine gli interessati possono altresì chiedere di essere sentiti personalmente.
2. Avverso i provvedimenti di cui primo comma, and’ ammesso ricorso dell’interessato alla giurisdizione esclusiva del Tribunale amministrativo regionale nella cui circoscrizione ha sede l’Organismo. Il ricorso e’ notificato all’Organismo entro sessanta giorni dalla sua comunicazione e depositato presso la cancelleria della Corte d’appello entro trenta giorni dalla notificazione predetta.
3. Si applicano le norme procedurali del processo amministrativo, mutatis mutandis, compresa la sospensione della dell’esecutività del provvedimento impugnato per gravi motivi.
4. La decisione del TAR e’ impugnabile dinanzi il Consiglio di Stato e copia della stessa e’ trasmessa all’Organismo ai fini della pubblicazione, per estratto.».

Art. 9
Ulteriori modifiche legislative
1. Article 2, paragraph 6, Law 30 April 1999, n. 130, and’ replaced by the following:
«6. I servizi indicati nel comma 3, letter c), possono essere svolti da banche o da intermediari finanziari iscritti nell’albo previsto dall’articolo 106 of the legislative decree 1 September 1993, n. 385. Gli altri soggetti che intendono prestare i servizi indicati nel comma 3, letter c), chiedono l’iscrizione nell’albo previsto dall’articolo 106 of the legislative decree 1 September 1993, n. 385, anche qualora non esercitino le attività elencate nel comma 1 del medesimo articolo purche’ possiedano i relativi requisiti.».
1. Dopo l’articolo 2, paragraph 6, Law 30 April 1999, n. 130, and’ inserted as follows:
«6-to. The person referred to in paragraph 6 verificano che le operazioni siano conformi alla legge ed al prospetto informativo.».

5. Article 8, paragraph 2, terzo periodo del decreto legislativo 19 giugno1997, n. 218, and’ sostituito dal presente:
«Sull’importo delle rate successive sono dovuti gli interessi al saggio legale, calcolati dalla data di perfezionamento dell’atto di adesione, e per il versamento di tali somme il contribuente e’ tenuto a prestare idonea garanzia mediante polizza fideiussoria o fideiussione bancaria ovvero rilasciata dai consorzi di garanzia collettiva dei fidi (Confidi) iscritti nell’albo previsto dall’articolo 106 del testo unico delle leggi in materia bancaria e creditizia, referred to the legislative decree 1 September 1993, n. 385, per il periodo di rateazione del detto importo, aumentato di un anno.».
6. Article 48, paragraph 3, second period, Legislative Decree 31 December 1992, n. 546, and’ replaced by the following: «Il processo verbale costituisce titolo per la riscossione delle somme dovute mediante versamento diretto in un’unica soluzione ovvero in forma rateale, in un massimo di otto rate trimestrali di pari importo, ovvero in un massimo di dodici rate trimestrali se le somme dovute superano i 50.000 €, previa prestazione, se l’importo delle rate successive alla prima e’ superiore a 50.000 €, di idonea garanzia mediante polizza fideiussoria o fideiussione bancaria ovvero rilasciata dai consorzi di garanzia collettiva dei fidi (Confidi) iscritti nell’albo previsto dall’articolo 106 of the legislative decree 1 September 1993, n. 385.».
7. Article 1, paragraph 4, Legislative Decree 24 February 1998 n. 58 and’ replaced by the following:
«4. I mezzi di pagamento non sono strumenti finanziari. Sono strumenti finanziari ed, in particular, contratti finanziari differenziali, i contratti di acquisto e vendita di valuta, estranei a transazioni commerciali e regolati per differenza, anche mediante operazioni di rinnovo automatico (cd. “roll-over”). Sono altresì strumenti finanziari le ulteriori operazioni su valute individuate ai sensi dell’articolo 18, comma 5.».

Società fiduciarie
1. Fino alla riforma organica della disciplina delle società fiduciarie e di revisione conservano vigore le disposizioni previste dalla legge 23 November 1939, n. 1966, e dell’articolo 60, paragraph 4, Legislative Decree 23 July 1966, n. 415.
2. Fino alla riforma organica di cui al comma 1, le società fiduciarie di cui alla legge 23 November 1939, n. 1966, che svolgono attività di custodia e amministrazione di valori mobiliari, che sono controllate direttamente o indirettamente da una banca o da un intermediario finanziario, nonche’ quelle che abbiano adottato la forma di società per azioni e che abbiano capitale versato di ammontare non inferiore al doppio di quello richiesto dall’articolo 2327 Civil Code, sono iscritte in una sezione separata dell’albo previsto dall’articolo 106 of the legislative decree 1 September 1993, n. 385, anche qualora non esercitino le attività elencate nel comma 1 del medesimo articolo. All’istanza di iscrizione si applica l’articolo 107 of the legislative decree 1 September 1993, n. 385, mutatis mutandis. Il diniego dell’autorizzazione comporta la decadenza dell’autorizzazione di cui all’articolo 2 Law 23 November 1939, n. 1966. La Banca d’Italia esercita i poteri indicati all’articolo 108, al fine di assicurare il rispetto da parte delle società fiduciarie iscritte nella sezione separata delle disposizioni contenute nel decreto legislativo 21 November 2007, n. 231. Alle società fiduciarie iscritte si applicano gli articoli 110, 113-to, 113-Tue of the legislative decree 1 September 1993, n. 385, in quanto compatibili.».
Art. 10
Disposizioni transitorie e finali
1. Except as provided by Article 37 Legislative Decree 27 January 2010, n. 11, gli intermediari finanziari e i confidi che, alla data di entrata in vigore del presente decreto legislativo, risultano iscritti nell’elenco generale di cui all’articolo 106, nell’elenco speciale di cui all’articolo 107 o nella sezione di cui all’articolo 155, paragraph 4, of the legislative decree 1 September 1993, n. 385, nonche’ le società fiduciarie previste dall’articolo 199, paragraph 2 Legislative Decree 24 February 1998, n. 58, come modificato dal presente decreto legislativo, possono continuare a operare per un periodo di 12 mesi successivi al completamento degli adempimenti indicati al comma 3.
2. Fino alla scadenza del periodo indicato al comma 1, la Banca d’Italia continua a tenere l’elenco generale, l’elenco speciale e la sezione separata; dal completamento degli adempimenti indicati al comma 3 non possono essere iscritti nuovi soggetti.
3. L’iscrizione nell’albo e negli elenchi, ivi comprese le relative sezioni separate, previsti dalla nuova disciplina introdotta con il presente titolo III e’ subordinata all’entrata in vigore delle disposizioni attuative e, It is the case, alla costituzione degli Organismi ivi previsti; le Autorità competenti vi provvedono al più tardi entro il 31 December 2011.
4. Per assicurare un passaggio ordinato alla nuova disciplina introdotta con il presente titolo III:
a) entro il termine indicato al comma 1, gli intermediari finanziari che alla data di entrata in vigore del presente decreto legislativo esercitano nei confronti del pubblico l’attività di assunzione di partecipazioni ivi compresi quelli di cui all’articolo 155, paragraph 2, of the legislative decree 1 September 1993, n. 385 abrogato ai sensi dell’articolo 8 del presente decreto, chiedono alla Banca d’Italia la cancellazione dagli elenchi di cui al comma 1, attestando di non esercitare attività riservate ai sensi di legge;
b) entro tre mesi dall’entrata in vigore delle disposizioni attuative del presente decreto, gli intermediari iscritti nell’elenco di cui all’articolo 107 of the legislative decree 1 September 1993, n. 385, o inclusi nella vigilanza consolidata bancaria, che alla data di entrata in vigore del presente decreto legislativo esercitano l’attività di concessione di finanziamenti sotto qualsiasi forma, presentano istanza di autorizzazione ai fini dell’iscrizione all’albo di cui all’articolo 106 of the legislative decree 1 September 1993, n. 385, come modificato dal presente decreto. L’istanza e’ corredata della sola documentazione attestante il rispetto delle previsioni di cui all’articolo 107, paragraph 1, letters c), d), and) ed f);
c) almeno sei mesi prima della scadenza del termine indicato al comma 1, gli intermediari iscritti nell’elenco di cui all’articolo 106 o in quello di cui all’articolo 107 of the legislative decree 1 September 1993, n. 385, che esercitano attività di intermediazione in cambi chiedono alla Banca d’Italia la cancellazione dagli elenchi, attestando di non esercitare attività riservate ai sensi di legge. Agli intermediari iscritti nell’elenco di cui all’articolo 106 o in quello di cui all’articolo 107 of the legislative decree 1 September 1993, n. 385 che esercitano attività di intermediazione in cambi rimane in ogni caso preclusa, in quanto già rientrante nel novero dei servizi e attività già disciplinati dal decreto legislativo 24 February 1998, n. 58, l’operatività su contratti di acquisto e vendita di valuta, estranei a transazioni commerciali e regolati per differenza, anche mediante operazioni di rinnovo automatico (cd. «roll-over»);
d) almeno tre mesi prima della scadenza del termine indicato al comma 1, le società fiduciarie previste all’articolo 199, paragraph 2, Legislative Decree 24 February 1998, n. 58, come modificato dal presente decreto, presentano istanza di autorizzazione ai fini dell’iscrizione alla sezione separata dell’albo di cui all’articolo 106 of the legislative decree 1 September 1993, n. 385 come modificato dal presente decreto. In pendenza dell’istanza di autorizzazione, esse possono continuare ad operare anche oltre il termine previsto dal comma 1;
and) almeno tre mesi prima della scadenza del termine indicato al comma 1, gli altri soggetti ivi indicati presentano istanza di autorizzazione ai fini dell’iscrizione all’albo di cui all’articolo 106, ovvero istanza di iscrizione nell’elenco di cui all’articolo 111 o nelle relative sezioni separate ovvero nell’elenco di cui all’articolo 112, paragraph 1 of the legislative decree 1 September 1993, n. 385, come modificato dal presente decreto. In pendenza dell’istanza di autorizzazione, essi possono continuare ad operare anche oltre il termine previsto dal comma 1.
5. In caso di mancato accoglimento delle istanze di cui al comma 4, letters b), c) ed and), i soggetti ivi indicati deliberano la liquidazione della società ovvero modificano il proprio oggetto sociale, eliminando il riferimento ad attività riservate ai sensi di legge. Per le società fiduciarie di cui al comma 4 il mancato accoglimento dell’istanza comporta la decadenza dell’autorizzazione di cui all’articolo 2 Law 23 November 1939, n. 1966.
6. Decorsi i termini stabiliti, i soggetti che non abbiano presentato istanza di autorizzazione, iscrizione o cancellazione ai sensi del comma 4, letters a), b), c) ed and) deliberano la liquidazione della società ovvero modificano il proprio oggetto sociale, eliminando il riferimento ad attività riservate ai sensi di legge. Le società fiduciarie di cui al comma 4 che non abbiano presentato istanza entro il termine ivi stabilito eliminano le condizioni che comportano l’obbligo di iscrizione nella speciale sezione dell’albo di cui all’articolo 106 of the legislative decree 1 September 1993, n. 385, come modificato dal presente decreto. In mancanza, decade l’autorizzazione di cui all’articolo 2 Law 23 November 1939, n. 1966.
7. Dalla data di entrata in vigore del presente decreto legislativo, sono abrogati gli elenchi previsti dagli articoli 113 and 155, paragraph 5, of the legislative decree 1 September 1993, n. 385 e cancellati i soggetti ivi iscritti.
8. Nelle more dell’entrata in vigore delle disposizioni di attuazione del presente titolo, apply, mutatis mutandis, il decreto del Ministro dell’economia e delle finanze 17 February 2009, n. 29, e le altre disposizioni emanate dalle Autorità ai sensi delle norme previgenti.
9. A decorrere dall’entrata in vigore del presente decreto tutte le disposizioni legislative che fanno riferimento agli intermediari finanziari iscritti negli elenchi di cui agli articoli 106 the 107 of the legislative decree 1 September 1993, n. 385, si intendono riferite agli intermediari finanziari iscritti nell’albo di cui all’articolo 106 of the legislative decree 1 September 1993, n. 385, come novellato dal presente decreto. Le disposizioni legislative che fanno riferimento ai confidi iscritti nella sezione separata dell’elenco di cui all’articolo 106 of the legislative decree 1 September 1993, n. 385, si intendono riferite ai confidi iscritti nell’elenco previsto dall’articolo 112 of the legislative decree 1 September 1993, n. 385, come novellato dal presente decreto; quelle che fanno riferimento ai confidi iscritti nell’elenco previsto dall’articolo 107 of the legislative decree 1 September 1993, n. 385, si intendono riferite ai confidi iscritti nell’albo previsto dall’articolo 106 of the legislative decree 1 September 1993, n. 385, come novellato dal presente decreto. Ai soggetti abilitati ai sensi dell’articolo 111 of the legislative decree 1 September 1993, n. 385, come novellato dal presente decreto, si applica l’articolo 2 Law 7 March 1996, n. 108.
10. Gli obblighi comunicativi di cui all’articolo 7, sesto e undicesimo comma, del decreto del Presidente della Repubblica 29 September 1973, n. 605, permangono nei confronti dei soggetti che, esclusi dagli obblighi dell’articolo 106, of the legislative decree 1 September 1993, n. 385, esercitano in via prevalente, non nei confronti del pubblico, le attività di assunzione e gestione di partecipazione, di concessione di finanziamenti sotto qualsiasi forma, di prestiti obbligazionari e di rilascio di garanzie. L’esercizio in via prevalente sussiste, when, in base ai dati dei bilanci approvati relativi agli ultimi due esercizi chiusi, ricorrono entrambi i seguenti presupposti:
a) l’ammontare complessivo degli elementi dell’attivo di natura finanziaria di cui alle anzidette attività, unitariamente considerate, inclusi gli impegni ad erogare fondi e le garanzie rilasciate, sia superiore al 50 per cento del totale dell’attivo patrimoniale, inclusi gli impegni ad erogare fondi e le garanzie rilasciate;
b) l’ammontare complessivo dei ricavi prodotti dagli elementi dell’attivo di cui alla lettera a), dei ricavi derivanti da operazioni di intermediazione su valute e delle commissioni attive percepite sulla prestazione dei servizi di pagamento sia superiore al 50 per cento dei proventi complessivi.
Titolo IV
DISCIPLINA DELL’ATTIVITà DEGLI AGENTI IN ATTIVITà FINANZIARIA E DEI MEDIATORI CREDITIZI
Chapter I
Modifiche al decreto legislativo 1° settembre 1993, n. 385
Art. 11
Integrazioni al decreto legislativo 1° settembre 1993, n. 385, per l’esercizio dell’agenzia in attività finanziaria e della mediazione creditizia
1. Dopo il titolo VI del decreto legislativo 1° settembre 1993, n. 385, and’ inserted as follows:
«Titolo VI-bis.
AGENTI IN ATTIVITà FINANZIARIA E MEDIATORI CREDITIZI
Art. 128-quater.
Agenti in attività finanziaria
1. E’ agente in attività finanziaria il soggetto che promuove e conclude contratti relativi alla concessione di finanziamenti sotto qualsiasi forma o alla prestazione di servizi di pagamento, su mandato diretto di intermediari finanziari previsti dal titolo V, istituti di pagamento o istituti di moneta elettronica. Gli agenti in attività finanziaria possono svolgere esclusivamente l’attività indicata nel presente comma, nonche’ or instrumental activities.
2. L’esercizio professionale nei confronti del pubblico dell’attività di agente in attività finanziaria e’ riservato ai soggetti iscritti in un apposito elenco tenuto dall’Organismo previsto dall’articolo 128-undecies.
3. Fermo restando la riserva di attività prevista dall’articolo 30 Legislative Decree 24 February 1998, n. 58, e in deroga a quanto previsto al comma 1, gli agenti in attività finanziaria possono svolgere attività di promozione e collocamento di contratti relativi a prodotti bancari su mandato diretto di banche ed a prodotti di Bancoposta su mandato diretto di Poste Italiane S.p.A.; tale attività dà titolo all’iscrizione nell’elenco previsto al comma 2, nel rispetto dei requisiti di cui all’articolo 128-d.
4. Gli agenti in attività finanziaria svolgono la loro attività su mandato di un solo intermediario o di più intermediari appartenenti al medesimo gruppo. Nel caso in cui l’intermediario offra solo alcuni specifici prodotti o servizi, and’ tuttavia consentito all’agente, al fine di offrire l’intera gamma di prodotti o servizi, di assumere due ulteriori mandati.
5. Il mandante risponde solidalmente dei danni causati dall’agente in attività finanziaria, anche se tali danni siano conseguenti a responsabilità accertata in sede penale.
6. Gli agenti che prestano esclusivamente i servizi di pagamento sono iscritti in una sezione speciale dell’elenco di cui al comma 2 quando ricorrono le condizioni e i requisiti stabiliti con regolamento adottato ai sensi dell’articolo 17, paragraph 3, law 23 August 1988, n. 400, dal Ministro dell’economia e delle finanze, consulting the Bank of Italy. I requisiti tengono conto del tipo di attività svolta. Ai soggetti iscritti nella sezione speciale non si applica il comma 4.
7. La riserva di attività prevista dal presente articolo non si applica agli agenti che prestano servizi di pagamento per conto di istituti di moneta elettronica o istituti di pagamento comunitari.
8. I soggetti di cui alle lettere a) and b) del comma 2 Article 109 Legislative Decree 7 September 2005, n. 209, regolarmente iscritti nel Registro unico degli intermediari assicurativi e riassicurativi, possono promuovere e concludere contratti relativi alla concessione di finanziamenti sotto qualsiasi forma o alla prestazione di servizi di pagamento su mandato diretto di banche,intermediari finanziari previsti dal titolo V, istituti di pagamento o istituti di moneta elettronica, compagnie di assicurazione, senza che sia loro richiesta l’iscrizione nell’elenco tenuto dall’Organismo di cui all’articolo 128-octies. Essi sono tuttavia tenuti alla frequenza di un corso di aggiornamento professionale nelle materie rilevanti all’esercizio dell’agenzia in attività finanziaria della durata complessiva di venti ore per biennio realizzati secondo gli standard definiti dall’Organismo di cui all’articolo 128-undecies.
Art. 128-d.
Requisiti per l’iscrizione nell’elenco degli agenti in attività finanziaria
1. L’iscrizione all’elenco di cui all’articolo 128-quater, paragraph 2, and’ subordinata al ricorrere dei seguenti requisiti:
a) per le persone fisiche: cittadinanza italiana o di uno Stato dell’Unione europea ovvero di Stato diverso secondo le disposizioni dell’articolo 2 del testo unico delle disposizioni concernenti la disciplina del testo unico delle disposizioni concernenti la disciplina dell’immigrazione e norme sulla condizione dello straniero, di cui al decreto legislativo 25 July 1998, n. 286, e domicilio nel territorio della Repubblica;
b) per i soggetti diversi dalle persone fisiche: sede legale e amministrativa o, per i soggetti comunitari, stabile organizzazione nel territorio della Repubblica;
c) requisiti di onorabilità e professionalità, compreso il superamento di un apposito esame. Per i soggetti diversi dalle persone fisiche, i requisiti si applicano a coloro che svolgono funzioni di amministrazione, direzione e controllo e, limitatamente ai requisiti di onorabilità, anche a coloro che detengono il controllo;
d) stipula di una polizza di assicurazione della responsabilità civile per i danni arrecati nell’esercizio dell’attività derivanti da condotte proprie o di terzi del cui operato essi rispondono a norma di legge;
and) per i soggetti diversi dalle persone fisiche sono inoltre richiesti un oggetto sociale conforme con quanto disposto dall’articolo 128-quater, paragraph 1, ed il rispetto di requisiti patrimoniali, organizzativi e di forma giuridica.
2. La permanenza nell’elenco e’ subordinata, in aggiunta ai requisiti indicati al comma 1, all’esercizio effettivo dell’attività e all’aggiornamento professionale.
Art. 128-e.
Mediatori creditizi
1. E’ mediatore creditizio il soggetto che mette in relazione, anche attraverso attività di consulenza, banche o intermediari finanziari previsti dal titolo V con la potenziale clientela per la concessione di finanziamenti sotto qualsiasi forma.
2. L’esercizio professionale nei confronti del pubblico dell’attività di mediatore creditizio e’ riservato ai soggetti iscritti in un apposito elenco tenuto dall’Organismo previsto dall’articolo 128-undecies.
3. Il mediatore creditizio può svolgere esclusivamente l’attività indicata al comma 1 nonche’ or instrumental activities.
4. Il mediatore creditizio svolge la propria attività senza essere legato ad alcune delle parti da rapporti che ne possano compromettere l’indipendenza.
Art. 128-septies.
Requisiti per l’iscrizione nell’elenco dei mediatori creditizi
1. L’iscrizione nell’elenco di cui all’articolo 128-e, paragraph 2, and’ subordinata al ricorrere dei seguenti requisiti:
a) forma di società per azioni, di società in accomandita per azioni, di società a responsabilità limitata o di società cooperativa;
b) sede legale e amministrativa o, per i soggetti comunitari, stabile organizzazione nel territorio della Repubblica;
c) oggetto sociale conforme con quanto previsto dall’articolo 128-e, paragraph 3, e rispetto dei requisiti di organizzazione;
d) possesso da parte di coloro che detengono il controllo e dei soggetti che svolgono funzioni di amministrazione, direzione e controllo dei requisiti di onorabilità;
and) possesso da parte dei soggetti che svolgono funzioni di amministrazione, direzione e controllo, di requisiti di professionalità, compreso il superamento di un apposito esame;
f) stipula di una polizza di assicurazione della responsabilità civile, per i danni arrecati nell’esercizio dell’attività derivanti da condotte proprie o di terzi del cui operato essi rispondono a norma di legge.
Art. 128-octies.
Incompatibilità
1. E’ vietata la contestuale iscrizione nell’elenco degli agenti in attività finanziaria e dei mediatori creditizi.
2. I collaboratori di agenti in attività finanziaria e di mediatori creditizi non possono svolgere contemporaneamente la propria attività a favore di più soggetti.
Art. 128-nine.
Dipendenti e collaboratori
1. Gli agenti in attività finanziaria e i mediatori creditizi assicurano e verificano, anche attraverso l’adozione di adeguate procedure interne, che i propri dipendenti e collaboratori di cui si avvalgono per il contatto con il pubblico, rispettino le norme loro applicabili, possiedano i requisiti di onorabilità e professionalità indicati all’articolo 128-d, letter c), ad esclusione del superamento dell’apposito esame e all’articolo 128-septies, letters d) ed and), ad esclusione del superamento dell’apposito esame, e curino l’aggiornamento professionale. Tali soggetti sono comunque tenuti a superare una prova valutativa i cui contenuti sono stabiliti dall’Organismo di cui all’articolo 128-undecies.
2. Per il contatto con il pubblico, gli agenti in attività finanziaria che siano persone fisiche o costituiti in forma di società di persone si avvalgono di dipendenti o collaboratori iscritti nell’elenco di cui all’articolo 128-quater, paragraph 2.
3. I mediatori creditizi e gli agenti in attività finanziaria diversi da quelli indicati al comma 2 trasmettono all’Organismo di cui all’articolo 128-undecies l’elenco dei propri dipendenti e collaboratori.
4. Gli agenti in attività finanziaria e i mediatori creditizi rispondono in solido dei danni causati nell’esercizio dell’attività dai dipendenti e collaboratori di cui si essi si avvalgono, anche in relazione a condotte penalmente sanzionate.
Art. 128-million.
Disposizioni di trasparenza e poteri della Banca d’Italia
1. Agli agenti in attività finanziaria e ai mediatori creditizi si applicano, mutatis mutandis, le norme del titolo VI. La Banca d’Italia può stabilire ulteriori regole per garantire la trasparenza e la correttezza nei rapporti con la clientela.
2. La Banca d’Italia esercita il controllo sui soggetti iscritti negli elenchi per verificare l’osservanza delle disposizioni di cui al comma 1 e della relativa disciplina di attuazione. A questo fine la Banca d’Italia può chiedere agli agenti in attività finanziaria e ai mediatori creditizi la comunicazione di dati e di notizie e la trasmissione di atti e di documenti, and establish the related terms, nonche’ effettuare ispezioni anche con la collaborazione della Guardia di finanza, che agisce con i poteri ad essa attribuiti per l’accertamento dell’imposta sul valore aggiunto e delle imposte sui redditi, utilizzando strutture e personale esistenti in modo da non determinare oneri aggiuntivi.
Art. 128-undecies.
Organismo
1. E’ set up a body, having legal personality under private law and ordered association, with organizational autonomy, statutaria e finanziaria competente per la gestione degli elenchi degli agenti in attività finanziaria e dei mediatori creditizi. L’Organismo e’ dotato dei poteri sanzionatori necessari per lo svolgimento di tali compiti.
2. I componenti dell’Organismo sono nominati con decreto del Ministro dell’economia e delle finanze, at the proposal of the Bank of Italy.
3. L’Organismo provvede all’iscrizione negli elenchi di cui all’articolo 128-quater, paragraph 2, e all’articolo 128-e, paragraph 2, previa verifica dei requisiti previsti, e svolge ogni altra attività necessaria per la loro gestione; determina e riscuote i contributi e le altre somme dovute per l’iscrizione negli elenchi; svolge gli altri compiti previsti dalla legge.
4. L’Organismo verifica il rispetto da parte degli agenti in attività finanziaria e dei mediatori creditizi della disciplina cui essi sono sottoposti; per lo svolgimento dei propri compiti, l’Organismo può effettuare ispezioni e può chiedere la comunicazione di dati e notizie e la trasmissione di atti e documenti, and establish the related terms.
Art. 128-duodecies.
Disposizioni procedurali
1. Per il mancato pagamento dei contributi o altre somme dovute ai fini dell’iscrizione negli elenchi di cui agli articoli 128-quater, paragraph 2, and 128-e, paragraph 2, per l’inosservanza degli obblighi di aggiornamento professionale, la violazione di norme legislative o amministrative che regolano l’attività di agenzia in attività finanziaria o di mediazione creditizia, la mancata comunicazione o trasmissione di informazioni o documenti richiesti, l’Organismo applica nei confronti degli iscritti:
a) il richiamo scritto;
b) la sospensione dall’esercizio dell’attività per un periodo non inferiore a sei mesi e non superiore a un anno;
c) la cancellazione dagli elenchi previsti dagli articoli 128-quater,paragraph 2 and 128-e, paragraph 2.
2. Per le violazioni previste dal comma 1, contestati gli addebiti agli interessati e valutate le deduzioni presentate entro trenta giorni, and’ applicata una delle misure di cui al comma 1, tenuto conto della rilevanza delle infrazioni accertate. La delibera di applicazione e’ pubblicata, per estratto, entro il termine di trenta giorni dalla data di notificazione, a cura e spese del soggetto interessato, su almeno due quotidiani a diffusione nazionale, di cui uno economico.
3. E’ disposta altresì la cancellazione dagli elenchi di cui agli articoli 128-quater, paragraph 2, and 128-e, paragraph 2, nel caso previsto dall’articolo 144 paragraph 8, e nei seguenti casi:
a) perdita di uno dei requisiti richiesti per l’esercizio dell’attività;
b) inattività protrattasi per oltre un anno;
c) cessazione dell’attività.
4. L’agente in attività finanziaria e il mediatore creditizio cancellati ai sensi del comma 1 possono richiedere una nuova iscrizione purche’ siano decorsi cinque anni dalla pubblicazione della cancellazione.
5. Fermo restando l’articolo 144, paragraph 8, in caso di necessità e urgenza, può essere disposta in via cautelare la sospensione dagli elenchi previsti dagli articoli 128-quater and 128-e per un periodo massimo di otto mesi, qualora sussistano precisi elementi che facciano presumere gravi violazioni di norme legislative o amministrative che regolano l’attività di agenzia in attività finanziaria o di mediazione creditizia.
6. Nei casi di ostacolo all’esercizio delle funzioni di controllo previste dal presente articolo, l’Organismo applica all’agente in attività finanziaria, al legale rappresentante della società di agenzia in attività finanziaria o del legale rappresentante della società di mediazione creditizia, nonche’ employee, la sanzione amministrativa pecuniaria da euro 2.065 to euro 129.110.
Art. 128-ter decies.
Vigilanza della Banca d’Italia sull’Organismo
1. The Bank of Italy supervises Organism second mode, from the same set, improntate a criteri di proporzionalità ed economicità dell’azione di controllo e con la finalità di verificare l’adeguatezza delle procedure interne adottate dall’Organismo per lo svolgimento dei compiti a questo affidati.
2. Per le finalità indicate al comma 1, la Banca d’Italia può accedere al sistema informativo che gestisce gli elenchi in forma elettronica, richiedere all’Organismo la comunicazione periodica di dati e notizie e la trasmissione di atti e documenti con le modalità e nei termini dalla stessa stabiliti, effettuare ispezioni nonche’ richiedere l’esibizione dei documenti e il compimento degli atti ritenuti necessari presso l’Organismo, convocare i componenti dell’Organismo.
3. La Banca d’Italia informa il Ministro dell’economia e delle finanze delle eventuali carenze riscontrate nell’attività dell’Organismo e, in caso di grave inerzia o malfunzionamento dell’Organismo, può proporne lo scioglimento al Ministro dell’economia e delle finanze.
4. The Board shall promptly inform the Bank of Italy of the acts and the most important events related to the exercise of their functions and transmits, by 31 January each year, a detailed report on its activities during the previous year and on the activities plan for the current year.
Art. 128-quater decies.
Restructuring of loans
1. For counseling and debt management for the purpose of restructuring and recovery of the same, performed subsequent to appointing the Article 128-undecies, banks and financial intermediaries may use financial agents entered on the list referred to in Article 128-quater, comma 2.».
Chapter II
Further rules for implementing
Art. 12
Disposizioni di attuazione dell’articolo 128-quater and 128-e of the legislative decree 1 September 1993, n. 385
1. Non costituisce esercizio di agenzia in attività finanziaria, ne’ di mediazione creditizia:
a) la promozione e la conclusione, da parte di fornitori di beni e servizi, di contratti di finanziamento unicamente per l’acquisto di propri beni e servizi sulla base di apposite convenzioni stipulate con le banche e gli intermediari finanziari. In tali contratti non sono ricompresi quelli relativi al rilascio di carte di credito;
b) la promozione e la conclusione, da parte di banche, intermediari finanziari, imprese di investimento, società di gestione del risparmio, SICAV, imprese assicurative, istituti di pagamento e Poste italiane S.p.A. di contratti relativi alla concessione di finanziamenti sotto qualsiasi forma e alla prestazione di servizi di pagamento;
c) la stipula, da parte delle associazioni di categoria e dei Confidi, di convenzioni con banche, intermediari finanziari ed altri soggetti operanti nel settore finanziario finalizzate a favorire l’accesso al credito delle imprese associate. Per la raccolta di richieste di finanziamento effettuate sulla base di dette convenzioni, le associazioni possono avvalersi di soggetti in possesso dei requisiti di cui all’articolo 128-nine, paragraph 1.
2. Per l’esercizio dell’attività di incasso di fondi su incarico di istituti di pagamento o di istituti di moneta elettronica non e’ necessaria l’iscrizione nell’elenco degli agenti in attività finanziaria, a condizione che detta attività sia svolta sulla base di un contratto di esternalizzazione, che ne predetermini le modalità di svolgimento, abbia carattere meramente materiale, does not determine the occurrence of debit or credit reports and in no case is accompanied by powers devices.
Art. 13
Disposizioni di attuazione dell’articolo 128-e of the legislative decree 1 September 1993, n. 385
1. Art. 14
Requisiti di Professionalità
1. L’iscrizione delle persone fisiche nell’elenco degli agenti in attività finanziaria, di cui all’articolo 128-quater, paragraph 2, of the legislative decree 1 September 1993, n. 385, and’ subordinata al possesso dei seguenti requisiti di professionalità:
a) titolo di studio non inferiore al diploma di istruzione secondaria superiore, rilasciato a seguito di corso di durata quinquennale ovvero quadriennale, integrato dal corso annuale previsto per legge, o un titolo di studio estero ritenuto equipollente a tutti gli effetti di legge;
b) frequenza ad un corso di formazione professionale nelle materie rilevanti nell’esercizio dell’agenzia in attività finanziaria;
c) possesso di un’adeguata conoscenza in materie giuridiche, economiche, finanziarie e tecniche, accertata tramite il superamento dell’apposito esame, indetta dall’Organismo di cui all’articolo 128-undecies of the legislative decree 1 September 1993, n. 385, secondo le modalità da questo stabilite.
2. L’iscrizione delle persone giuridiche nell’ elenco degli agenti in attività finanziaria di cui all’articolo 128-quater, paragraph 2, e in quello dei mediatori creditizi, di cui all’articolo 128-e, paragraph 2, of the legislative decree 1 September 1993, n. 385, and’ subordinata al possesso dei seguenti requisiti di professionalità:
a) i soggetti con funzioni di amministrazione, direzione e controllo devono essere scelti secondo criteri di professionalità e competenza fra persone che abbiano maturato una esperienza complessiva di almeno un triennio attraverso l’esercizio di:
1) attività di amministrazione o di controllo ovvero compiti direttivi presso imprese;
2) attività professionali in materia attinente al settore creditizio, finanziario, mobiliare;
3) attività d’insegnamento universitario in materie giuridiche o economiche;
4) funzioni amministrative o dirigenziali presso enti pubblici, pubbliche amministrazioni, associazioni imprenditoriali o loro società di servizi aventi attinenza con il settore creditizio, finanziario, mobiliare ovvero presso enti pubblici o pubbliche amministrazioni che non hanno attinenza con i predetti settori purche’ le funzioni comportino la gestione di risorse economico-finanziarie.
b) il presidente del consiglio di amministrazione deve essere scelto secondo criteri di professionalità e competenza fra persone che abbiano maturato una esperienza complessiva di almeno un quinquennio attraverso l’esercizio dell’attività o delle funzioni indicate alla lettera a).
c) l’amministratore unico, l’unico socio della società a responsabilità limitata, l’amministratore delegato e il direttore generale devono essere in possesso di una specifica competenza in materia creditizia, financial, mobiliare maturata attraverso esperienze di lavoro in posizione di adeguata responsabilità per un periodo non inferiore a un quinquennio. Analoghi requisiti sono richiesti per le cariche che comportano l’esercizio di funzioni equivalenti a quella di direttore generale.
3. L’iscrizione delle persone giuridiche nell’ elenco degli agenti in attività finanziaria di cui all’articolo 128-quater, paragraph 2, e in quello dei mediatori creditizi, di cui all’articolo 128-e, paragraph 2, of the legislative decree 1 September 1993, n. 385, and’ altresì subordinata al possesso dei requisiti di cui al comma 1 per coloro che svolgono funzioni di amministrazione e direzione.
Art. 15
Requisiti di onorabilità
1. Non possono essere iscritti nell’elenco degli agenti in attività finanziaria di cui all’articolo 128-quater, paragraph 2, coloro che:
a) si trovano in una delle condizioni di ineleggibilità o decadenza previste dall’articolo 2382 Civil Code;
b) sono stati sottoposti a misure di prevenzione disposte dall’autorità giudiziaria ai sensi della legge 27 December 1956, n. 1423, o della legge 31 May 1965, n. 575, salvi gli effetti della riabilitazione;
c) sono stati condannati con sentenza irrevocabile, salvi gli effetti della riabilitazione:
1) a pena detentiva per uno dei reati previsti dalle norme che disciplinano l’attività bancaria, financial, mobiliare, assicurativa e dalle norme in materia di mercati e valori mobiliari, di strumenti di pagamento;
2) a pena detentiva per uno dei reati previsti nel titolo XI del libro V del codice civile e nel regio decreto del 16 March 1942, n. 267;
3) a pena detentiva per un tempo non inferiore a un anno per un reato contro la pubblica amministrazione, contro la fede pubblica, contro il patrimonio, contro l’ordine pubblico, contro l’economia pubblica ovvero per delitto in materia tributaria;
4) alla reclusione per un tempo non inferiore a due anni per un qualunque delitto non colposo.
2. Non possono essere altresì iscritti nell’elenco coloro nei confronti dei quali sia stata applicata su richiesta delle parti una delle pene previste dal comma 1, letter c), salvo il caso dell’estinzione del reato. Nel caso in cui siano state applicate su richiesta delle parti, le pene previste dal comma 1, letter c), numeri 1) and 2), non rilevano se inferiori a un anno.
3. Con riferimento alle fattispecie disciplinate in tutto o in parte da ordinamenti stranieri, la verifica dell’insussistenza delle condizioni previste dai commi l e 2 and’ effettuata sulla base di una valutazione di equivalenza sostanziale a cura dell’Organismo.
4. Per l’iscrizione delle persone giuridiche, nell’ elenco degli agenti in attività finanziaria di cui all’articolo 128-quater, paragraph 2, e in quello dei mediatori creditizi di cui all’articolo 128-e, paragraph 2, of the legislative decree 1 September 1993, n. 385 i commi 1, 2 and 3 si applicano a coloro che svolgono funzioni di amministrazione, direzione e controllo.
5. Per l’iscrizione delle persone giuridiche nell’ elenco degli agenti in attività finanziaria di cui all’articolo 128-quater, paragraph 2, e in quello dei mediatori creditizi di cui all’articolo 128-e, paragraph 2, of the legislative decree 1 September 1993, n. 385, coloro che detengono il controllo devono essere in possesso dei requisiti di cui al comma 1. Si applicano i commi 3 and 4.
Art. 16
Requisiti patrimoniali
1. L’Organismo definisce i massimali, commisurati ai volumi di attività, della polizza di assicurazione prevista dagli articoli 128-quater, paragraph 2, and 128-d, paragraph 2. Nel caso di polizze che prevedono coperture cumulative, i massimali sono riferiti a ciascun soggetto che richiede l’iscrizione. Si applicano, mutatis mutandis, le disposizioni emanate dall’Isvap in materia di polizza di assicurazione della responsabilità civile.
2. Ai sensi degli articoli 128-quater, paragraph 2, and 128-septies, paragraph 2, of the legislative decree 1 September 1993, n. 385, il capitale sociale versato deve essere almeno pari a quello previsto dall’articolo 2327 Civil Code. L’ammontare del capitale minimo può essere modificato con decreto del Ministro dell’economia e delle finanze.
Art. 17
Incompatibilità
1. Fermo restando quanto previsto dall’articolo 128-octies del decreto legislativo 1° settembre 1993, n. 385, il Ministro dell’economia e delle finanze può, a regulation adopted pursuant to Article 17, paragraph 3, Law 23 August 1988, n. 400, individuare le ulteriori cause di incompatibilità con l’esercizio dell’attività di agente in attività finanziaria e di mediatore creditizio.
2. I dipendenti, gli agenti e i collaboratori di banche ed intermediari finanziari non possono svolgere attività di mediazione creditizia, ne’ esercitare, neppure per interposta persona, attività di amministrazione, direzione o controllo nelle società di mediazione creditizia iscritte nell’elenco di cui all’articolo 128-e, paragraph 2, or, anche informalmente, attività di promozione di intermediari finanziari diversi da quello per il quale prestano la propria attività.
3. Le società di mediazione creditizia non possono detenere, neppure indirettamente, partecipazioni in banche o intermediari finanziari.
4. Le banche e gli intermediari finanziari non possono detenere, nelle imprese o società che svolgono l’attività di mediazione creditizia, partecipazioni che rappresentano almeno il dieci per cento del capitale o che attribuiscono almeno il dieci per cento dei diritti di voto o che comunque consentono di esercitare un’influenza notevole.
Art. 18
Requisiti tecnico – computer
1. L’iscrizione negli elenchi previsti dagli articoli 128-quater, paragraph 2, and 128-e, paragraph 2, and’ subordinata al possesso, da parte degli agenti e mediatori, di una casella di posta elettronica certificata e di una firma digitale con lo stesso valore legale della firma autografa ai sensi del decreto legislativo 7 March 2005, n. 82, e relative norme di attuazione.
Chapter III
Organismo competente per la gestione degli elenchi degli agenti in attività finanziaria e dei mediatori creditizi
Art. 19
Composizione dell’Organismo
1. L’Organismo previsto dall’articolo 128-undecies of the legislative decree 1 September 1993, n. 385, and’ composto da un rappresentante del Ministero dell’economia e delle finanze e da tre a cinque membri nominati ai sensi del comma 2.
2. I componenti dell’Organismo, tra i quali e’ eletto il Presidente, sono scelti, , secondo procedure definite dallo statuto, all’interno delle categorie degli agenti in attività finanziaria, dei mediatori creditizi, delle banche, degli intermediari finanziari, degli istituti di pagamento e degli istituti di moneta elettronica, tra persone dotate di comprovata competenza in materie finanziarie, economiche e giuridiche nonche’ di caratteristiche di indipendenza tale da assicurarne l’autonomia di giudizio.
3. L’Organismo cura la redazione del proprio statuto e di propri regolamenti interni, che contengono previsioni adeguate ad assicurare efficacia e legittimità nello svolgimento dei propri compiti, nel rispetto, tra l’altro, dei seguenti principi e criteri:
a) previsione dei criteri, delle modalità e delle risorse necessarie per l’efficace svolgimento dei compiti;
b) previsione di idonei meccanismi di controllo interno volti a garantire il rispetto delle decisioni e delle procedure;
c) adozione di un efficace sistema di pubblicità delle proprie disposizioni sulle attività degli agenti in attività finanziaria e dei mediatori creditizi;
d) adozione di procedure funzionali alla preventiva verifica di legittimità della propria attività, con particolare riferimento al rispetto, nell’ambito del procedimento sanzionatorio per violazione dell’ article 128-ter decies of the legislative decree 1 September 1993, n. 385, del principio del contraddittorio, della conoscenza degli atti istruttori, della verbalizzazione e della distinzione tra funzioni istruttorie e funzioni decisorie;
and) adozione di procedure idonee a garantire la riservatezza delle informazioni ricevute;
f) adozione di procedure che consentano di fornire tempestivamente alla Banca d’Italia le informazioni dalla stessa richieste.
4. Lo statuto e i regolamenti interni dell’Organismo sono trasmessi al Ministro dell’economia e delle finanze per la successiva approvazione, consulting the Bank of Italy, e pubblicazione.
Art. 20
Contenuto dell’autonomia finanziaria dell’Organismo
1. Nell’ambito della propria autonomia finanziaria, l’Organismo determina e riscuote i contributi e le altre somme dovute dagli iscritti e dai richiedenti l’iscrizione negli elenchi degli agenti in attività finanziaria e dei mediatori creditizi, nella misura necessaria per garantire lo svolgimento delle proprie attività.
2. The measure, le modalità e i termini di versamento dei contributi e delle altre somme dovute dagli iscritti all’Organismo sono determinati dal medesimo con delibera nella misura necessaria a garantire lo svolgimento delle proprie attività.
3. Il provvedimento con cui l’Organismo ingiunge il pagamento dei contributi dovuti ha efficacia di titolo esecutivo. La relativa procedura e’ disciplinata con regolamento del Ministro dell’economia e delle finanze, Article 17, paragraph 3, Law 23 August 1988, n. 400.
Art. 21
Funzioni dell’Organismo
1. Except as provided by Article 128-million, paragraph 2, of the legislative decree 1 September 1993, n. 385, l’Organismo svolge le seguenti funzioni:
a) disciplina la struttura propria e delle eventuali sezioni territoriali al fine di garantirne la funzionalità e l’efficienza;
b) istituisce l’elenco degli agenti in attività finanziaria e l’elenco dei mediatori creditizi e provvede alla loro custodia e gestione;
c) verifica la permanenza dei requisiti necessari per l’iscrizione negli elenchi di cui agli articoli 128-quater, paragraph 2, and 128-e, paragraph 2, of the legislative decree 1 September 1993, n. 385;
d) verifica il rispetto delle regole di condotta nonche’ di ogni altra disposizione applicabile all’attività svolta dagli iscritti;
and) verifica l’assenza di cause di incompatibilità, di sospensione e di cancellazione nei confronti degli iscritti negli elenchi;
f) verifica l’effettivo svolgimento delle attività di cui agli articoli 128-quater and 128-e of the legislative decree 1 September 1993, n. 385 ai fini della permanenza dell’iscrizione negli elenchi;
g) secondo quanto previsto dall’articolo 24, indice e organizza l’apposito esame volto ad accertare l’adeguatezza della professionalità dei soggetti ai quali si riferiscono i requisiti di professionalità ai fini dell’iscrizione nell’elenco degli agenti in attività finanziaria e cura l’aggiornamento professionale degli iscritti nell’elenco degli agenti in attività finanziaria;
h) stabilisce gli standard dei corsi di formazione che le società di mediazione sono tenute a svolgere nei confronti dei propri dipendenti, collaboratori o lavoratori autonomi;
i) secondo quanto previsto dall’articolo 128-nine, stabilisce i contenuti della prova valutativa.
2. Per lo svolgimento dei compiti di cui al comma 1, letters b), c), d), and), ed f), l’Organismo può chiedere ai soggetti ivi iscritti la comunicazione di dati e notizie, nonche’ la trasmissione di atti e documenti secondo le modalità e i termini dallo stesso determinati, nonche’ procedere ad audizione personale e effettuare ispezioni.
Art. 22
Gestione degli elenchi
1. Gli elenchi degli agenti in attività finanziaria e dei mediatori creditizi sono articolati in sezioni territoriali e gestiti in forma elettronica. Le eventuali sezioni territoriali degli elenchi sono individuate dall’Organismo in numero non inferiore a tre e, in any case, con riferimento al numero e alla distribuzione geografica degli iscritti.
2. Nell’attività di gestione degli elenchi l’Organismo:
a) procede, previa verifica dei requisiti, all’iscrizione nei suddetti elenchi dei soggetti che ne facciano richiesta;
b) verifica la permanenza dei requisiti richiesti per l’iscrizione;
c) rigetta l’istanza di iscrizione negli elenchi in mancanza dei requisiti necessari e dispone la cancellazione nelle ipotesi di cui all’articolo 128-duodecies. In entrambi i casi ne dà comunicazione all’interessato;
d) rilascia gli attestati di iscrizione e cancellazione dagli elenchi;
and) aggiorna tempestivamente gli elenchi sulla base dei provvedimenti adottati dall’autorità giudiziaria, dalla Banca d’Italia e dallo stesso Organismo, nonche’ sulla base di comunicazioni ricevute dagli iscritti;
3. Except as provided by Article 23, con riferimento al procedimento di iscrizione, al fine di garantire l’efficienza e la trasparenza nell’attività di gestione degli elenchi, l’Organismo predispone e rende pubbliche le procedure adottate indicando, tra l’altro, i termini dei procedimenti di propria competenza.
4. L’Organismo tiene a disposizione del pubblico gli elenchi aggiornati con modalità idonee ad assicurarne la massima diffusione.
Art. 23
Iscrizione negli elenchi
1. La domanda di iscrizione nell’elenco prende data dal giorno della presentazione ovvero, in caso di incompletezza o irregolarità, da quello del completamento o della regolarizzazione.
2. L’Organismo, accertato il possesso dei requisiti, dispone l’iscrizione nell’elenco, entro il termine di novanta giorni dal ricevimento della domanda. Qualora entro tale termine non sia adottato un provvedimento di rigetto, la domanda di iscrizione si intende accolta.
3. Nell’elenco degli agenti in attività finanziaria sono indicati:
a) per le persone fisiche:
1) cognome e nome;
2) luogo e data di nascita;
3) codice fiscale;
4) data di iscrizione nell’elenco;
5) domicilio eletto in Italia e relativo indirizzo, nonche’ il comune di residenza e il relativo indirizzo, se diversi dal domicilio eletto;
6) indirizzo della casella di posta elettronica certificata;
7) eventuali provvedimenti di sospensione cautelare ai sensi dell’articolo 128-duodecies of the legislative decree 1 September 1993, n. 385, in essere nei confronti dell’iscritto, nonche’ ogni altro provvedimento incidente sull’esercizio dell’attività;
b) per le persone giuridiche:
1) denominazione sociale;
2) data di costituzione;
3) sede legale e, se diversa dalla sede legale, la sede della direzione generale;
4) data di iscrizione nell’elenco;
5) indirizzo della casella di posta elettronica certificata;
6) eventuali provvedimenti di sospensione cautelare ai sensi dell’articolo 128-ter decies of the legislative decree 1 September 1993, n. 385, in essere nei confronti della società, nonche’ ogni altro provvedimento incidente sull’esercizio dell’attività sociale;
7) i nominativi dei dipendenti e dei collaboratori di cui il mediatore creditizio si avvale svolgimento della propria attività.
4. Nell’elenco dei mediatori creditizi sono indicati:
a) denominazione sociale;
b) data di costituzione;
c) sede legale e, se diversa dalla sede legale, la sede della direzione generale;
d) data di iscrizione nell’elenco;
and) eventuali provvedimenti di sospensione cautelare ai sensi dell’articolo 128-ter decies of the legislative decree 1 September 1993, n. 385, in essere nei confronti della società, nonche’ ogni altro provvedimento incidente sull’esercizio dell’attività sociale;
f) i nominativi dei dipendenti e dei collaboratori di cui il mediatore creditizio si avvale svolgimento della propria attività ai sensi dell’articolo 128-septies, paragraph 2, e dell’articolo 128-nine.
5. Alla data dell’iscrizione negli elenchi sono comunicati all’Organismo il luogo di conservazione della documentazione e gli estremi identificativi della polizza assicurativa di cui all’articolo 128-d, paragraph 1, letter d), e all’articolo 128-septies, paragraph 1, letter f), of the legislative decree 1 September 1993, n. 385.
6. Gli iscritti negli elenchi comunicano entro dieci giorni all’Organismo ogni variazione degli elementi di cui al comma 3, letter a), n. 4) and 5), e lettera b), n. 1) and 3), e al comma 4.
Art. 24
Esame e aggiornamento professionale
1. L’Organismo indice con cadenza almeno annuale, secondo modalità dallo stesso stabilite, un esame volto ad accertare i requisiti di professionalità di coloro che richiedono l’iscrizione negli elenchi degli agenti in attività finanziaria e dei mediatori creditizi.
2. L’esame deve consentire di verificare l’effettivo possesso da parte dei candidati delle competenze necessarie per lo svolgimento dell’attività.
3. L’Organismo stabilisce le date, le sedi e le modalità di partecipazione e svolgimento dell’esame, garantendo adeguata pubblicità ad ogni informazione relativa allo stesso.
4. Gli iscritti negli elenchi degli agenti in attività finanziaria sono tenuti all’aggiornamento professionale, coerentemente con la natura e le caratteristiche dell’attività prestata, mediante la frequenza ai corsi di formazione di cui al comma 5.
5. L’Organismo stabilisce gli standard dei corsi di formazione finalizzati all’aggiornamento professionale. I corsi di formazione, di durata complessiva non inferiore a sessanta ore per biennio, sono tenuti da soggetti con esperienza almeno quinquennale nel settore della formazione in materie economiche, Financial, tecniche e giuridiche, rilevanti nell’esercizio dell’attività di agente in attività finanziaria.
6. L’Organismo vigila sul rispetto del dovere di aggiornamento professionale, richiedendo la trasmissione periodica della copia degli attestati rilasciati all’esito dei corsi di formazione.
Capo IV
Disposizioni in materia di sanzioni
Art. 25
Esercizio abusivo dell’attività
1. Nel titolo VIII del decreto legislativo 1° settembre 1993, n. 385, After Article 140, and’ inserito il seguente capo:
"Capo IV-bis
Agenti in attività finanziaria e mediatori creditizi
Art. 140-to.
Esercizio abusivo dell’attività
1. Chiunque esercita professionalmente nei confronti del pubblico l’attività di agente in attività finanziaria senza essere iscritto nell’elenco di cui all’articolo 128-quater, paragraph 2, and’ punito con la reclusione da 6 mesi a 4 anni e con la multa da euro 2.065 to euro 10.329.
2. Chiunque esercita professionalmente nei confronti del pubblico l’attività di mediatore creditizio senza essere iscritto nell’elenco di cui all’articolo 128-e, paragraph 2, and’ punito con la reclusione da 6 mesi a 4 anni e con la multa da euro 2.065 a euro 10.329.».
Titolo V
DISPOSIZIONI FINALI
Art. 26
Disciplina transitoria
1. I soggetti già iscritti, alla data di entrata in vigore del presente decreto, nell’albo dei mediatori creditizi previsto dall’articolo 16 Law 7 March 1996, n. 108, o nell’elenco degli agenti in attività finanziaria previsto dall’articolo 3 Legislative Decree 25 September 1999, n. 374, hanno sei mesi di tempo dalla costituzione dell’Organismo per chiedere l’iscrizione nei nuovi elenchi, previa presentazione della documentazione attestante il possesso dei requisiti richiesti per l’esercizio dell’attività ai sensi degli articoli 128-d and 128-septies.
2. I soggetti indicati al comma 1 che hanno effettivamente svolto l’attività, per uno o più periodi di tempo complessivamente pari a tre anni nel quinquennio precedente la data di istanza di iscrizione nell’elenco, sono esonerati dal superamento dell’esame di cui all’articolo 128-d, paragraph 1, letter c), e all’articolo 128-septies, paragraph 1, letter and), a condizione che siano giudicati idonei sulla base di una valutazione, condotta con criteri uniformi e predeterminati, dell’adeguatezza dell’esperienza professionale maturata.
3. A decorrere dal sessantesimo giorno successivo alla data di entrata in vigore del presente decreto e fino alla costituzione dell’Organismo sono sospese nuove iscrizioni nell’albo dei mediatori creditizi e nell’elenco degli agenti in attività finanziaria ad eccezione degli agenti di cui al comma 6 Article 128-quater of the legislative decree 1 September 1993, n. 385. Ai mediatori e agenti già iscritti continuano ad applicarsi il decreto del Ministro dell’economia e delle finanze 13 December 2001, n. 485, in materia di agenti in attività finanziaria, e il decreto del Presidente della Repubblica 28 July 2000, n. 287, in materia di mediatori, nonche’ le relative disposizioni di attuazione.
4. Costituito l’Organismo, the Bank of Italy ceases keeping the lists of financial agents provided for in Article 3 Legislative Decree 25 September 1999, n. 374, and of the register of brokers provided for in Article 16 Law 7 March 1996, n. 108.
5. The period provided for in Article 37, paragraph 7, Legislative Decree 27 January 2010, n. 11, It is extended until the date of entry into force of this legislative decree.

Art. 28
Abrogazioni e norme finali
1. A decorrere dalla data di entrata in vigore delle disposizioni di attuazione del titolo VI-to of the legislative decree 1 September 1993, n. 385 e del presente decreto, sono abrogati:
a) Article 3 Legislative Decree 25 September 1999, n. 374, e il decreto del Ministro dell’economia e delle finanze 13 December 2001, n. 485;
b) Article 16 Law 7 March 1996, n. 108, ad eccezione del comma 9, e il decreto del Presidente della Repubblica del 28 July 2000, n. 287;
c) Article 5, paragraphs 2 and 3, Legislative Decree 26 May 1997, n. 153, per la parte in cui si riferiscono agli agenti in attività finanziaria;
d) Article 17 Law 28 December 2005, n. 262.
2. Dalla medesima data di cui al comma 1, ogni riferimento all’albo dei mediatori previsto dall’articolo 16 della legge della legge 7 March 1996, n. 108, e all’elenco degli agenti previsto dall’articolo 3 Legislative Decree 25 September 1999, n. 374, si intende effettuato ai corrispondenti elenchi previsti dagli articoli 128-quater and 128-e of the legislative decree 1 September 1993, n. 385.
3. Il presente decreto non pregiudica l’applicazione della direttiva 2005/29/CE, così come attuata dal decreto legislativo 2 August 2007, n. 146 e le relative competenze dell’Autorità garante della concorrenza e del mercato.
4. Il comma 3 Article 114-septies of the legislative decree 1 September 1993, n. 385, and’ abrogato. Con riferimento agli istituti di pagamento e agli istituti di moneta elettronica autorizzati in Italia l’abrogazione ha effetto a decorrere dalla data di entrata in vigore delle disposizioni di attuazione dell’articolo 128-quater paragraph 6.
5. Le disposizioni contenute nel titolo IV del presente decreto legislativo si applicano a decorrere dal sessantesimo giorno successivo alla data di entrata in vigore del presente decreto.
Art. 29
Disposizioni attuative
1. The Minister of Economy and Finance, consulting the Bank of Italy, detta disposizioni attuative del presente decreto, che indichino, tra l’altro, il contenuto dei requisiti organizzativi e di forma giuridica di cui agli articoli 128-d, paragraph 1, letter and), and 128-septies, paragraph 1, letter c).
Art. 30
Invarianza finanziaria
1. Dall’attuazione del presente decreto non devono derivare nuovi o maggiori oneri a carico della finanza pubblica.
2. Le amministrazioni pubbliche interessate provvedono allo svolgimento dei compiti derivanti dal presente decreto con le risorse umane, strumentali e finanziarie previste a legislazione vigente.
